T-TRAK LIMITED WARRANTY AND TERMS OF USE IMPORTANT: PLEASE READ THIS DOCUMENT CAREFULLY. IT CONTAINS THE EXCLUSIVE LIMITED WARRANTY AND LIABILITY DISCLAIMERS THAT GOVERN THE USE OF THE T-TRAK PRODUCT AND SERVICE. SECTION 1: LIMITED PRODUCT WARRANTY 1.1 Coverage VK Industrial IOT (“VKIIOT”) warrants that the T-Trak tracking device (the “Product”) shall be free from defects in materials and workmanship under normal and intended use for a period of twelve (12) months from the original date of retail purchase (the “Standard Warranty Period”). For customers who purchase a multi-year service subscription (e.g., 3-year or 5-year plans), the warranty on the Product will be extended for the duration of the active service subscription (the “Extended Warranty Period”). Coverage under the Extended Warranty is contingent upon maintaining active service and complying with VKIIOT’s Terms of Service. This Limited Warranty is provided to the original end-user purchaser and, in the case of a gift, to the first recipient of the Product. Proof of purchase and proof of an active service subscription may be required to validate the warranty. 1.2 Exclusive Remedy If a defect covered by this Limited Warranty occurs and VKIIOT receives a valid claim within the Warranty Period, VKIIOT will, at its sole discretion, either (a) repair the defective Product using new or refurbished parts or (b) replace the defective Product with a new or refurbished unit of equal or greater functionality. Any replaced or repaired Product shall be warranted for the remainder of the original Warranty Period or for ninety (90) days from the date of return shipment to the customer, whichever is longer. 1.3 Exclusions This Limited Warranty does not cover, and VKIIOT shall have no responsibility or liability for any damage, defect, or failure caused by: • Misuse, abuse, neglect, accident, improper maintenance, improper installation, or operation not in accordance with the T-Trak installation and user guidelines. • Exposure to extreme environmental conditions (including but not limited to fire, flood, corrosion, or power surges). • Unauthorized modification, alteration, or repair of the Product. • Use of the Product with incompatible hardware, power supplies, accessories, or software. • Normal wear and tear, cosmetic damage, or consumable parts (e.g., fuses, batteries). • Damage to any property other than the Product itself. 1.4 Warranty Claim Procedure To obtain warranty service, the purchaser must contact VKIIOT customer support for a return authorization (RMA) and provide proof of purchase. The purchaser is responsible for shipping the Product to the designated VKIIOT service center. VKIIOT will pay shipping for any repaired or replacement unit under warranty. Any Product returned without proper authorization may be refused and returned at the sender’s expense. ________________________________________ SECTION 2: DISCLAIMER OF GUARANTEE AND ASSUMPTION OF RISK (CRITICAL) 2.1 No Guarantee of Recovery THE T-TRAK PRODUCT IS A THEFT-DETERRENT, CAR JACKING MITIGATION TOOL, AND LOCATION-ASSISTANCE TOOL ONLY. VK INDUSTRIAL IOT DOES NOT GUARANTEE, WARRANT, OR PROMISE THE RECOVERY OF ANY VEHICLE OR ASSET to which the Product is installed. The success of vehicle recovery is dependent on numerous external factors, including but not limited to law enforcement response time, cellular network coverage, power supply, the conditions of the theft, and the duration and method of concealment., 2.2 No Financial Compensation for Theft Loss VK Industrial IOT, its affiliates, and distributors expressly disclaim any liability for direct or indirect monetary loss, including the value of the vehicle, its contents, or any cost associated with non-recovery or damage resulting from theft, attempted theft, or use of the vehicle by an unauthorized party. VK Industrial IOT does not offer any insurance, bounty, or financial compensation for loss or damage to a vehicle. 2.3 In-Cabin Installation Acknowledgment The purchaser acknowledges that the T-Trak device is designed for “in-cabin” installation (i.e., not a professionally hard-wired or concealed factory-installed device), and may be visible, disabled, accessible, or removed by a sophisticated thief. Effectiveness may be reduced if the Product is tampered with. The purchaser assumes all risks associated with installation, placement, and continued operation of the Product. ________________________________________ SECTION 3: LIMITATION OF LIABILITY 3.1 Limitation on Damages TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VK INDUSTRIAL IOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER — INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, LOSS OF VEHICLE OR ASSET VALUE, OR OTHER COMMERCIAL DAMAGES OR LOSSES — ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE PRODUCT, EVEN IF VK INDUSTRIAL IOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 3.2 Maximum Liability IN NO EVENT SHALL VK INDUSTRIAL IOT AND ITS SUPPLIERS’ TOTAL LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE AMOUNT ACTUALLY PAID BY THE PURCHASER FOR THE PRODUCT. YOUR SOLE REMEDY FOR ANY CLAIM OR DAMAGE IS LIMITED TO REPAIR, REPLACEMENT, OR REFUND OF THE PURCHASE PRICE OF THE PRODUCT. 3.3 Disclaimers of Implied Warranties EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT — ARE HEREBY DISCLAIMED. ________________________________________ SECTION 4: GENERAL TERMS 4.1 Use at Your Own Risk The use of the T-Trak Product and Service is entirely at the User's own risk. The User assumes all liability for any damage, loss, injury, or death arising from the use or inability to use the Product. 4.2 Governing Law The User is solely responsible for ensuring that the installation and use of the Product comply with all applicable local, state, federal, and international laws and regulations, including but not limited to those governing privacy, consent, data collection, and vehicle tracking. VK Industrial IOT makes no representations regarding the legality of using the Product in any specific jurisdiction and assumes no responsibility or liability for any illegal, improper, or unauthorized use of the Product. 4.3 Severability If any provision of this Limited Warranty is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such determination shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect. 4.4 No Other Warranties No reseller, distributor, agent, or employee of VKIIOT is authorized to make any modification, extension, or addition to this Limited Warranty. Any statements or representations made by such persons that are inconsistent with or in addition to the terms of this Limited Warranty shall not be binding on VKIIOT unless expressly confirmed in writing by an authorized officer of VKIIOT.
